1. General Provisions

1.1. The Supervisory Board of the National Aerospace University "Kharkiv Aviation Institute" (hereinafter referred to as the Supervisory Board) is established in accordance with Article 37 of the Law of Ukraine "On Higher Education" and Clause 5.5 of the Charter of the National Aerospace University "Kharkiv Aviation Institute" (hereinafter referred to as the University) to supervise the management of the University's property, compliance with the purpose of its creation, facilitate strategic development, and exercise public oversight over the University's activities.

1.2. In its activities, the Supervisory Board is guided by the Constitution of Ukraine, the Laws of Ukraine "On Higher Education", "On Education", "On Scientific and Scientific-Technical Activity", other regulatory acts of Ukraine, decrees and orders of the President of Ukraine, resolutions and orders of the Cabinet of Ministers of Ukraine, regulatory acts of the Ministry of Education and Science of Ukraine, the University Charter, and these Regulations, taking into account the best corporate governance practices in the field of higher education.

1.3. The procedure for forming the Supervisory Board, its competence, and the order of its activities are determined by the University Charter. Candidates for the Supervisory Board are discussed and proposed by the University's Academic Council. The composition of the Supervisory Board is approved by the Ministry of Education and Science of Ukraine upon the University's submission. The term of office of the Supervisory Board is five years.

1.4. The powers of a member of the Supervisory Board may be terminated early at their own request based on a written statement submitted to the Minister of Education and Science of Ukraine or for other reasons specified in these Regulations. The powers of a Supervisory Board member terminate from the moment the Ministry of Education and Science of Ukraine issues an order changing the composition of the Supervisory Board.

1.5. The Supervisory Board consists of a Chair, a Deputy Chair, a Secretary, and other members.

1.6. The Chair, Deputy Chairs, and members of the Supervisory Board perform their duties on a voluntary (pro bono) basis.

1.7. The Supervisory Board does not interfere in the educational process, the academic freedom of employees, or the autonomy of the University, except in cases provided for by law and the University Charter.

2. Purpose and Main Tasks of the Supervisory Board

2.1. The strategic role of the Supervisory Board includes:

  • Reviewing the draft University Development Strategy and monitoring its implementation;
  • Reviewing the annual report of the University Rector;
  • Reviewing key performance indicators of the University;
  • Participating in international partnership projects;
  • Promoting the development of an endowment fund.

2.2. The purpose of the Supervisory Board's activity is to promote the sustainable development of the University in accordance with the University Development Strategy, ensure its competitiveness, take measures to strengthen the material and technical base, and improve the efficiency of resource utilization.

The main tasks of the Supervisory Board are:

  • Reviewing and analyzing priority directions for University development in education, scientific, scientific-technical, and innovation activities;
  • Assisting in solving long-term University development tasks;
  • Providing assistance to the University leadership in implementing state policy in higher education and science;
  • Attracting financial resources to support University activities in key development areas and exercising control over their use;
  • Facilitating effective interaction between the University and state/local government bodies, the scientific community, socio-political organizations, and business entities in the interest of development and improving the quality of educational activity and competitiveness of the University;
  • Promoting and assisting the University in improving the material and technical base of the educational process, scientific and scientific-technical activities, and the University's social infrastructure;
  • Exercising public oversight over the University's activities;
  • Promoting the integration of the University into the international educational system, seeking ways to expand and improve international cooperation;
  • Helping to create an image of the University as a leader in higher education, science, and culture at the regional and national levels.

3. Composition and Procedure for Nominating Candidates to the Supervisory Board

3.1. Proposals with candidates for the University's Supervisory Board are submitted through the University Rector for further consideration by the University's Academic Council.

3.2. A person proposed as a candidate for the Supervisory Board shall submit to the University Rector a statement of consent to participate in the work of the Supervisory Board and consent to the processing of personal data. The form of the statement for a candidate to the Supervisory Board is provided in Appendix 1 to these Regulations.

3.3. The University Rector initiates the consideration of candidates for the Supervisory Board at a meeting of the University's Academic Council.

3.4. The University's Academic Council reviews the submitted candidates and makes a decision on approving candidates for inclusion in the Supervisory Board.

3.5. The Supervisory Board may include representatives of state authorities, local governments, employers, enterprises, institutions and organizations, representatives of the scientific and educational community, public associations, University graduates, international partners, and other persons whose activities contribute to the development of education, science, innovation, and society.

3.6. Candidates for the Supervisory Board must have an impeccable business reputation, high professional and moral qualities, and experience in management, scientific, educational, innovation, production, public, or international activities. A member of the Supervisory Board must be independent of the University management and not be in relationships that could affect their impartiality.

3.7. Students (higher education seekers) and employees of the University cannot be members of the University's Supervisory Board.

3.8. Proposals regarding candidates for the Supervisory Board may be submitted by the Academic Council, bodies of public self-governance of the University, public organizations, employers, University graduates, international partners, and other interested persons.

3.9. The personal composition of the University's Supervisory Board is approved by the Ministry of Education and Science of Ukraine.

3.10. The powers of a Supervisory Board member are terminated in the event of:

  • submission of a personal statement on the termination of membership;
  • inability to perform their duties due to health reasons;
  • the emergence of circumstances that make it impossible for the person to remain on the Supervisory Board in accordance with the current legislation of Ukraine;
  • a court verdict of guilty entering into legal force;
  • the death of a Supervisory Board member;
  • the adoption of a relevant decision by the Ministry of Education and Science of Ukraine.

3.11. In the event of early termination of a Supervisory Board member's powers, the election of a new member is carried out in the order established for the formation of the Supervisory Board.

4. Rights and Powers of the Supervisory Board

4.1. In accordance with the tasks assigned to it, the University's Supervisory Board:

  • prepares and submits to the Academic Council and the University Rector proposals for determining priority directions for the development of educational, scientific, scientific-technical, and innovation activities of the University;
  • participates in the development of program projects aimed at the development of the University's material and technical base and its social infrastructure;
  • provides proposals regarding the optimization of the University's organizational structure according to the directions of its statutory activity;
  • monitors the state and quality of educational, scientific, scientific-technical, and international activities of the University, and promotes the implementation of innovative technologies at the University;
  • analyzes opportunities and promotes the attraction of investments and the receipt of additional funds, material assets, and intangible assets for the educational, scientific, educational, health, sports, and cultural-enlightenment activities of the University;
  • monitors the efficiency and performs audits of the economic, financial, and business activities of the University, and provides recommendations to the University leadership regarding the improvement of mechanisms for expenditure planning, use of property, land plots, and funds in accordance with the University's development plan.

4.2. Decisions of the Supervisory Board are brought to the attention of the Rector and the University's Academic Council and are mandatory for consideration and the taking of appropriate measures in accordance with the University Charter.

4.3. Decisions of the Supervisory Board are formalized by a protocol signed by the Chair and the Secretary of the Supervisory Board.

4.4. The annual report on the activities of the Supervisory Board is heard at a meeting of the University's Academic Council.

5. Organization of the Supervisory Board's Activities

5.1. The Supervisory Board elects a Chair and a Deputy Chair from among its members. The Chair and Deputy Chair are elected by an open vote by a majority of the Supervisory Board's composition for the term of its powers. The Chair and Deputy may be re-elected.

5.2. The Chair of the Supervisory Board:

  • organizes the work of the University's Supervisory Board;
  • convenes its meetings;
  • presides over the meetings of the University's Supervisory Board;
  • coordinates the activities of the University's Supervisory Board members regarding the fulfillment of tasks assigned to them;
  • determines the persons responsible for preparing issues included in the agenda and persons who are not members of the University's Supervisory Board but must be present at its meeting;
  • signs decisions, including excerpts from the protocol decisions of the University's Supervisory Board, letters, appeals, requests, and responses on issues discussed and decided by the University's Supervisory Board;
  • represents the University's Supervisory Board in state authorities, enterprises, institutions, organizations, and media;
  • exercises other powers for the purpose of the University's Supervisory Board fulfilling its functions.

In case of temporary absence of the Chair of the Supervisory Board, their duties are performed by the Deputy Chair of the Supervisory Board.

5.3. The Secretary of the Supervisory Board ensures the keeping of minutes, document flow, and organizational support for the Board's activities. The Secretary is appointed by the University Rector for organizational support of its activities without voting rights.

5.4. Meetings of the Supervisory Board are held at least twice a year.

5.5. An extraordinary meeting may be convened by the Chair or at the request of at least one-third of the members of the Supervisory Board.

5.6. Meetings may be conducted in a mixed or remote format using electronic communication tools, ensuring the identification of participants and the recording of voting results.

5.7. A meeting is competent if at least two-thirds of the Supervisory Board's composition is present.

5.8. Decisions are made by a majority vote of the Supervisory Board members present.

5.9. In the event of an equal distribution of votes, the Chair's vote is decisive.

5.10. The Chair of the Supervisory Board may be re-elected early by a decision of a majority of the Supervisory Board's composition.

5.11. Members of the Supervisory Board are notified of the date, time, venue, and agenda of the meeting no later than five working days before it is held.

6. Conflict of Interest and Ethical Principles

6.1. A member of the Supervisory Board is obliged to act in good faith and in the interests of the University.

6.2. In the event of a real or potential conflict of interest, the Chair or a member of the Supervisory Board is obliged to immediately notify the Supervisory Board and refrain from participating in the voting on the relevant issue.

6.3. Information about the conflict of interest is recorded in the meeting minutes.

6.4. Members of the Supervisory Board are obliged to comply with the requirements of the anti-corruption legislation of Ukraine, principles of academic integrity, and the ethical standards of the University.

6.5. Failure to report a conflict of interest is grounds for initiating the termination of the powers of a Supervisory Board member.

7. Interaction with University Management Bodies

7.1. The Supervisory Board interacts with the Ministry of Education and Science of Ukraine, the Rector, the Academic Council, the Labor Collective Conference, and other University management bodies.

7.2. The Chair of the Supervisory Board or a member of the Supervisory Board may participate in meetings of the University's Academic Council with the right of an advisory vote.

7.3. Decisions of the Supervisory Board are sent to the Rector and the Chair of the Academic Council no later than five working days after their adoption.

8. Reporting and Transparency of Activities

8.1. The Supervisory Board prepares a public report on its activities annually.

8.2. The report is published on the official website of the University.

8.3. Information about the composition of the Supervisory Board, including biographical notes on the members of the Supervisory Board, its decisions, and the results of its activities, is posted on the official website of the University in compliance with the requirements of legislation on personal data protection.

8.4. Decisions of the Supervisory Board, in particular work plans and minutes (or excerpts), may be published on the official website of the University if they do not contain restricted access information.

8.5. Documentation support for the activities of the Supervisory Board is carried out in accordance with the legislation of Ukraine, regulatory acts in the field of office management and archiving, the University Charter, and internal regulatory documents of the University. Meeting minutes, decisions, correspondence, and other documents of the Supervisory Board are formed into files, recorded, and stored in the manner established by law.

9. Final Provisions

9.1. These Regulations are approved by the University's Academic Council and enacted by the Rector's order.

9.2. Amendments and additions to these Regulations are made in the order established for their approval.

9.3. In cases not regulated by these Regulations, the norms of the current legislation of Ukraine and the University Charter shall apply.
